1. About Us
These Terms and Conditions ("Terms") govern your use of the website located at guyhepner.com (the "Site") and any purchases made through the Site. The Site is operated by 10012 Holdings Inc., a US C corporation, trading as Guy Hepner Contemporary Art Gallery ("Guy Hepner", "we", "us", or "our"). Our gallery has physical locations at 521 W 26th Street and 177 10th Avenue, New York, NY. Enquiries may be directed to info@guyhepner.com.
2. Acceptance of Terms
By accessing or using this Site, browsing any content, making an enquiry, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not use this Site. We reserve the right to amend these Terms at any time. Continued use of the Site following any amendment constitutes your acceptance of the revised Terms.
3. Use of the Site
You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Site. Prohibited conduct includes, but is not limited to: transmitting unlawful, offensive, or harmful content; attempting to gain unauthorised access to any part of the Site or its related systems; using automated scraping, crawling, or data extraction tools without our express written consent; misrepresenting your identity or affiliation in any enquiry or transaction. We reserve the right to suspend or restrict access to the Site for any user who we reasonably believe has breached these Terms.
4. Artwork Information and Accuracy
We endeavour to ensure that all information on the Site, including artwork descriptions, dimensions, edition information, pricing, and availability, is accurate and up to date. However, we do not warrant that all such information is free from error. Artwork availability can change rapidly and we cannot guarantee that any work shown as available will remain so at the time of your enquiry or purchase.
Dimensions provided on the Site are indicative and may be subject to variation depending on framing, presentation, and edition. All dimensions and framing specifications must be confirmed directly with the gallery prior to purchase. Guy Hepner accepts no liability for decisions made solely on the basis of dimensions as displayed on the Site.
5. Auction Results, Market Data and Valuation Disclaimer
The Site may display or reference auction results, price histories, sale prices, valuation estimates, market trend commentary, "Market Report" pages, and other market-related data (collectively, "Market Data") relating to artworks by various artists, including artworks not offered for sale by Guy Hepner. This Market Data is procured, in whole or in part, from third-party data providers, auction houses, and publicly available auction records. Guy Hepner does not independently verify, audit, or guarantee the accuracy, completeness, timeliness, or reliability of any Market Data obtained from these third-party sources.
Market Data is provided strictly for general informational and illustrative purposes only. It does not constitute, and must not be construed or relied upon as, financial, investment, valuation, appraisal, legal, or tax advice of any kind. Historical auction results and price trends are not indicative of, and provide no assurance or guarantee of, the current or future value of any artwork, and past performance is not a reliable indicator of future results. The art market is inherently volatile and illiquid, and the value of any artwork can fluctuate significantly and may be affected by condition, provenance, authentication status, market demand, and many other factors not reflected in Market Data.
You must not rely on any Market Data displayed on the Site to make a decision to buy, sell, consign, insure, finance, or otherwise transact in any artwork, or to make any other financial or investment decision. Before making any such decision, you should obtain independent, professional valuation and financial advice from a qualified appraiser, advisor, or other suitably qualified professional. Guy Hepner accepts no liability whatsoever for any loss, damage, or adverse outcome arising directly or indirectly from any reliance placed on Market Data presented on the Site, whether sourced from third parties or compiled by Guy Hepner.
Market Data may be updated, corrected, removed, or become outdated at any time without notice, and Guy Hepner is under no obligation to update or maintain the accuracy of any Market Data once published.
6. Purchases and Payment
All purchases are subject to availability and acceptance by Guy Hepner. We reserve the right to decline any order at our discretion. Prices displayed on the Site are in USD unless otherwise stated and are exclusive of applicable taxes, import duties, and shipping costs. Payment is required in full prior to dispatch unless otherwise agreed in writing. We accept payment by bank transfer, credit card, and other methods as indicated at checkout.
7. Shipping and Delivery
Guy Hepner ships artworks worldwide. Shipping costs, timelines, and insurance are provided at the time of purchase confirmation. All risk in the artwork passes to the buyer upon collection by the nominated carrier. Import duties, customs clearance fees, and any applicable taxes are the sole responsibility of the buyer.
8. Returns and Refunds
All sales of original artworks and limited edition works are final unless the artwork is materially different from its description on the Site or arrives damaged. Any damage must be reported to us in writing within 48 hours of delivery with photographic evidence. We do not accept returns on the basis of change of mind.
9. Intellectual Property
All content on this Site, including but not limited to images, text, artwork reproductions, and design elements, is protected by copyright and other intellectual property rights owned by or licensed to Guy Hepner. You may not reproduce, distribute, or use any content from this Site without our prior written consent.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Guy Hepner excludes all liability for any direct, indirect, consequential, or incidental loss arising from your use of this Site or any transaction conducted through it, including any loss arising from reliance on Market Data as described in Section 5. Our total liability in connection with any claim shall not exceed the price paid by you for the artwork in question.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, USA. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New York.
